If you want to update your business name or certain other information on your Colorado LLC’s Articles of Organization, you can do that by filing Articles of Amendment with the Colorado Secretary of State. Filing Articles of Amendment only costs $25, but it won’t allow you to change all your LLC’s information. We’ll show you what you can and can not do with Colorado LLC Articles of Amendment in this guide, along with how you can make changes to the rest of your Articles of Organization.

A Colorado LLC is formed by filing Articles of Organization to register information about your company with the Colorado Secretary of State. As your LLC grows, state records about your business may need to be updated to stay compliant with state laws. Some changes to Articles of Organization—particularly changes to the LLC’s name and any extra provisions—can be made by filing Articles of Amendment on the Colorado Secretary of State’s online filing system. The Secretary of State provides a checklist for filing Articles of Amendment online.
Your Colorado LLC can file Articles of Amendment to update its registered name, or to add, update or remove any optional provisions previously attached to the Articles. Optional provisions in Colorado can include things like the LLC’s purpose, member names or addresses, or the length of time that the LLC will be in existence. That said, because any information provided on Articles of Organization becomes part of the public record, attaching optional provisions with sensitive data is relatively uncommon.
You can’t use Articles of Amendment to change your principal business address or your Colorado registered agent. Those alterations must be made on your LLC’s Colorado Periodic Report or on Statement of Change forms.
You can update your LLC’s primary address by filing a Statement of Change – Changing the Principal Office Address , or modify your listed registered agent with a Statement of Change – Changing the Registered Agent Information . These forms, like Articles of Amendment, can only be filed through the Colorado Secretary of State’s online business portal. Each statement costs $10 to file and can be done at any time.
If you’re willing to wait (or if the time is right) you can update both your principal address and registered agent information at the same time by changing the information on your LLC’s Colorado Periodic Report. You can make these changes at any point during the three month period that starts on the first day of your LLC’s anniversary month. You’ll still have to pay $10 to file the report, but you’ll save a little money by not filing more than one statement.
Colorado LLCs do not have the option of simply restating their initial Articles of Organization instead of filing amendments. However, you can file an Amended and Restated Articles of Organization form to amend and restate your articles simultaneously. This online filing costs $25.
No, if an error made it into your LLC’s Articles of Organization, you shouldn’t file an Articles of Amendment. You’ll want to file a Statement of Correction form instead. There are separate online correction forms for your LLC’s entity name, principal office, attachments and registered agent, all of which cost $10 to file.
There are also paper forms for corrections to effective dates, for filing the wrong kind of entity by mistake, or to revoke a filed document, which carry much steeper $150 fees.
